Inaddition,theremunerationcommitteereceivedseverallettersfromTomatoBank’sfinancedirector,JohnTemba,saying,indirectterms,thattheyshouldofferMrWoof‘whateverhewants’toensurethathejoinsthecompanyandthatthebalanceofbenefitswasnotimportantaslongashejoined.Twoofthenon-executivedirectorsontheremunerationcommitteewereformercolleaguesofMrWoofandtoldthefinancedirectortheywouldtakehisadviceandmakesuretheyputapackagetogetherthatwouldensureMrWoofjoinedthecompany.
Onceinpost,MrWoofledanexcessivelyaggressivestrategythatinvolvedhighgrowthintheloanandmortgagebooksfinancedfromarangeofsources,someofwhichprovedunreliable.Inthefifthyearofhisappointment,thefailureofsomeofthesourcesoffundsuponwhichthegrowthofthebankwasbasedledtoseverefinancingdifficultiesatTomatoBank.ShareholdersvotedtoreplaceGeorgeWoofasCEO.Theysaidhehadbeenrecklessinexposingthecompanytosomuchriskingrowingtheloanbookwithoutadequatelycoveringitwithreliablesourcesoffunds.
Whenheleft,thepressreportedthatdespitehisfailureinthejob,hewouldbeleavingwithwhatthenewspapersreferredtoasan‘obscenelylarge’pension.SomeshareholderswereangryandsaidthatMrWoofwasbeing‘rewardedforfailure’.WhenMrWoofwasaskedifhemightvoluntarilyforegosomeofhispensioninrecognitionofhisfailureinthejob,herefused,sayingthathewascontractuallyentitledtoitandsowouldbekeepingitall.
